Who this is for
Two-founder SaaS and product teams choosing between a German GmbH and a Polish sp. z o.o. as a first European operating company.
The short answer
sp. z o.o. is often chosen when speed, setup cost, and accounting capacity matter most and customers or talent are not DE-specific. GmbH is often chosen when German counterparties, local hiring, or a bank relationship in DE drive the business. Neither choice is "always right."
What to compare (operator view)
| Topic | What to verify |
|---|---|
| Share capital and formalities | Minimum capital, notarial acts, registration path |
| Timeline | Filing queue, document legalisation, bank KYC after register |
| Payroll / social | Cost of employing in-country vs contractors elsewhere |
| Banking | payment providers vs classic bank appetite for your model |
| Substance story | Where people, customers, and management actually sit |
| Exit / investment | What investors and acquirers expect for your sector |
Exact figures and deadlines change. Confirm with counsel and a local accountant as of your filing date.
When Poland is often enough
- Remote-first product, EU customers, no DE employment plan this year
- Need a clean EU invoice entity with predictable accounting partners
- You will document real operations (contracts, IP, management) without pretending substance where none exists
When Germany often matters more
- Enterprise buyers or partners that treat DE as the commercial home market
- Hiring in Germany soon
- A classic bank relationship in DE is a near-term requirement, not a nice-to-have
Banking reality (both paths)
Formation does not equal account opening. Build a banking checklist in parallel: UBO pack, activity narrative, contracts, website, expected volumes. payment providers rails can unlock day-to-day payments earlier for many digital businesses. some banks still gate credit and some local processes.
Handoff to your accountant
Before you incorporate, agree:
- Chart of accounts and bookkeeping tool
- VAT regime assumptions (to be confirmed professionally)
- Who files what, and on which calendar
- How founder expenses and intercompany charges will be evidenced
