Remote founders and EU substance: what you must be able to explain

Registers, banks, and tax authorities care about where decisions and work happen. Paper alone is not a strategy.

Who this is for

Founders incorporating in the EU while living and working elsewhere.

The short answer

You need a story that is true and documentable: where the company is managed, where work is done, and where customers are. If the only "presence" is a mailbox, expect hard questions.

What "substance" means in practice

Not a slogan. Evidence of real activity:

  • Who makes binding decisions and where
  • Employment or contractor map
  • Where product is built and supported
  • Customer geography
  • Board process (minutes, resolutions)

Different authorities care for different reasons (corporate, tax, banking). Do not assume one checkbox covers all.

Common failure modes

  • Directors who never meet or decide anything
  • IP owned by the co with no development evidence
  • Banking application that contradicts the register address story
  • "Nominee everything" without understanding residual risk

What you can do well as a remote team

  • Keep a clean decision log and signed resolutions
  • Align contracts, invoices, and bank narrative
  • Use a real service address and know local mail handling
  • Engage a local accountant early
  • Avoid copying holding charts from social media

Trust and compliance tools help, they do not invent substance

Calendars, vaults, and AI drafts organise work. They do not replace people, decisions, or licensed advice.
